Terms of Service

The agreement between CelerityHat and the organisations that use Celeritic.

1. The agreement

These terms are an agreement between CelerityHat To confirm: full legal name of the contracting entity, for example with its corporate suffix ("CelerityHat", "we", "us") and the organisation that uses Celeritic ("your organisation", "you"). They cover celeritic.com, the Celeritic application and the Celeritic browser extension (together, "the service").

The owner or admin who sets up your organisation in Celeritic accepts these terms on your organisation's behalf, and confirms they have authority to do so. Each person who creates an account agrees to use the service in line with these terms. If your organisation has signed a separate written agreement with us, that agreement takes precedence where the two differ.

Our Privacy Policy explains how we handle information and forms part of these terms.

2. Accounts and security

  • Accounts are for individuals using a work email address. Keep your sign-in details to yourself; each person needs their own account.
  • Your organisation's owners and admins decide who joins, what each member can reach, and which systems are connected. They are responsible for keeping that list current, including removing people who leave.
  • You are responsible for activity under your accounts. Tell us promptly at the contact address below if you believe an account has been compromised.

3. Acceptable use

You must not, and must not help anyone else to:

  • attempt to access another organisation's data, or data in your own organisation that you have not been given access to;
  • probe, scan or test the security of the service, or get around its access controls, except under a written arrangement with us;
  • upload content you do not have the right to share, or that is unlawful, harmful or infringes anyone's rights;
  • use the service to send spam or to collect information about people without a lawful basis;
  • overload, disrupt, copy or reverse engineer the service, or use automated means to extract it, beyond the features we provide;
  • use the service in breach of the terms of a partner programme or connected system.

4. Your content

Your organisation owns the information it puts into or connects to Celeritic, including deals, documents, notes and assistant conversations ("customer content"). We claim no ownership of it.

You give us a licence to host, copy, process, transmit and display customer content only as needed to provide, secure and support the service for you, including sending it to our sub-processors as described in the Privacy Policy. We do not sell customer content and do not use it to train AI models.

You are responsible for having the rights and permissions needed to put customer content into the service, including any personal information about your customers and contacts.

5. Connected systems

  • When you connect a CRM, partner portal or other system, you confirm you are authorised to connect it and to let Celeritic read from it and, where you ask, write to it (for example updating an opportunity, creating a customer record, or filling a partner registration form through the browser extension).
  • Credentials you provide are used only to operate the connection. Your use of each connected system remains governed by that system's own terms, and we are not responsible for its availability, its data or its changes.
  • Disconnecting a system stops future access and deletes its stored credentials. Records already synced remain until you delete them, as the Privacy Policy explains.

6. AI-generated output

Celeritic uses AI to produce answers, summaries, insights, drafts and recommendations. AI output can be incomplete, out of date or wrong, even when it sounds confident. Review it before you rely on it, and check anything you send to a partner or customer. AI output is not legal, financial or professional advice.

7. Support access

CelerityHat staff can open your organisation's data in Celeritic only while an owner or admin has granted support access. A grant lasts a fixed time, can be revoked at any time, and is logged for your organisation to see. While a grant is active, staff can see and act on what an owner could, for the purpose of helping you. Without one, staff see only an organisation's name, member count and grant status, and review new organisations before they go live.

8. Availability and changes to the service

Celeritic changes quickly: we add, change and remove features often. We aim to keep the service available but do not promise it will be uninterrupted or error free. If we remove a feature your organisation relies on in a way that materially reduces the service, we will tell you in advance where we reasonably can. 9. Fees

Fees, billing and payment terms, if any, are set out in your order or separate agreement with us. To confirm: fees and payment terms, or confirm the service is currently provided without charge

10. Confidentiality

Each of us will keep the other's non-public business information confidential, use it only for the purposes of this agreement, and protect it with at least reasonable care. This does not cover information that is already public, was already known, is independently developed, or must be disclosed by law (in which case the disclosing party will give notice where it lawfully can). Customer content is your confidential information.

11. Intellectual property

We own the service, including its software, design and documentation, and the Celeritic and CelerityHat names and marks. These terms give you a right to use the service while they are in effect; they do not transfer any of our intellectual property to you. Output the service produces for you from your customer content is yours to use.

12. Feedback

If you send us suggestions or feedback, we may use them to improve the service without any obligation to you. This does not give us any right to your customer content.

13. Suspension and termination

  • Your organisation may stop using the service at any time, and may ask us to delete its data as the Privacy Policy describes.
  • We may suspend an account or organisation, in whole or in part, if it breaks these terms, puts the service or other customers at risk, or if the law requires it. Where we reasonably can, we will tell you first and give you a chance to fix the problem.
  • We may end the service for your organisation with reasonable notice To confirm: notice period for termination by CelerityHat.
  • When the service ends for your organisation, you can ask for an export of your customer content within a reasonable period, after which we delete it, apart from copies in backups, which expire on their normal schedule.

14. Disclaimers

To the extent the law allows, the service is provided "as is" and "as available", without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose and non-infringement. We do not warrant that data from connected systems or AI output is accurate or complete. To confirm: legal review of disclaimers

15. Limitation of liability

To the extent the law allows, neither party is liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue or data, and each party's total liability arising out of these terms is limited to the amount your organisation paid us for the service in the 12 months before the claim. These limits do not apply to liability that cannot be limited by law. To confirm: legal review of the liability cap and its exclusions

16. Indemnity

17. Governing law

18. Changes to these terms

Every version of these terms carries a version number and the date it was last updated, shown at the top. When we make a material change, we tell your organisation in the app or by email before it takes effect. Continuing to use the service after a change takes effect means accepting it; if you do not agree, you can stop using the service.
